This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, the "Licensee") and Utharn Buranasaksee, operating as SciGrad ("Licensor"), for the RUS ZIP software, including the RUS ZIP command-line interface (CLI), the RUS ZIP Desktop application, and any associated documentation, updates, and media (collectively, the "Software").
By downloading, installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, or use the Software.
1. License Grant
Subject to your compliance with this Agreement and to the terms of any applicable license issued to you through the Licensor's license issuing service, the Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices that you own or control, for personal or internal business purposes.
Your right to use the Software is conditioned on holding a valid license issued by the Licensor. A license may be perpetual or limited by an expiry date, as stated on the license granted to you. If your license expires or is terminated, you must stop using the Software and uninstall it.
2. Permitted Use and Restrictions
You may use the Software only as expressly permitted in this Agreement. You agree NOT to:
- copy, rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or any license issued for it to any third party;
- circumvent, disable, or attempt to circumvent any license verification, technical protection, or usage-limitation mechanism in the Software, or use the Software with a license you are not authorized to use;
- reverse engineer, decompile, or disassemble the Software, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation;
- remove, alter, or obscure any proprietary notices, labels, or marks contained in or on the Software;
- use the Software to infringe the rights of any third party or to violate any applicable law or regulation.
Archives you create with the Software remain your property. This Agreement does not grant the Licensor any right, title, or interest in your data or in the content of your archives.
3. Intellectual Property
The Software is licensed, not sold. The Licensor reserves all rights, title, and interest in and to the Software, including all copyrights, trademarks, trade names, trade secrets, and other intellectual property rights. All rights not expressly granted to you in this Agreement are reserved by the Licensor.
4. Third-Party Components
The Software includes third-party components (including, without limitation, open-source codecs and libraries) that are licensed to you under their own respective license terms. Nothing in this Agreement limits your rights under, or grants you rights that supersede, the license terms of any third-party component. Where required, the applicable license notices are included with the Software distribution.
5. Updates
The Licensor may from time to time provide updates, patches, or new versions of the Software. Unless stated otherwise, such updates are provided under this Agreement. The Licensor is not obligated to provide any updates, maintenance, or support beyond what is expressly promised for your license type.
6. No Warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE LICENSOR'S TOTAL LIABILITY EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE THOUSAND BAHT (THB 1,000) IF YOU PAID NOTHING. The foregoing limitations do not apply to liability that cannot be excluded or limited under applicable law.
8. Termination
This Agreement takes effect when you first use the Software and remains in effect until terminated. Your rights under this Agreement terminate automatically without notice if you fail to comply with any of its terms, or when your license expires or is revoked. Upon termination, you must cease all use of the Software and uninstall and destroy all copies of it in your possession. Sections 2, 3, 6, 7, and 9 survive termination.
9. Governing Law
This Agreement is governed by and construed in accordance with the laws of Thailand, without regard to its conflict-of-law rules. You agree to submit to the exclusive jurisdiction of the courts of Thailand for any dispute arising out of or relating to this Agreement, except where applicable law grants you the right to bring proceedings in your country of residence.
10. Changes to This Agreement
The Licensor may amend this Agreement from time to time. The current version will be posted on the RUS ZIP website, and material changes will be communicated with an updated effective date. Continued use of the Software after an updated version takes effect constitutes your acceptance of the updated Agreement.
